Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and 14001834 Canada Inc., doing business as Kali Digital and operating Team OS ("Team OS," "we," "us," or "our"). They govern your access to and use of the Team OS websites, documentation, account and billing features, software, and related services (collectively, the "Service").
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Service.

Eligibility and accounts
You must be at least the age of legal majority where you live and legally able to enter into these Terms. You may not use the Service if applicable law prohibits you from doing so.
You must provide accurate account information, keep it current, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by our breach of these Terms. Accounts may not be sold, transferred, or shared in a way that compromises their security.

Hosted service and open-source license
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the hosted portions of the Service for lawful personal or internal business purposes. We may add, remove, or change hosted features as the Service evolves.
The Team OS software and documentation distributed with the official Team OS repository or bundles are licensed under the Apache License, Version 2.0. Copyright 2026 14001834 Canada Inc. The Apache License—not the limited hosted-service right above—governs your use, reproduction, modification, and distribution of those materials. If these Terms conflict with that license, the Apache License controls for the licensed materials.
Apache 2.0 does not grant permission to use the KaliDigital or Team OS names, logos, or marks except for reasonable and customary attribution and descriptions of origin. These Terms do not grant rights to third-party software, models, or trademarks.

Your repositories and AI output
You retain your rights in repository content, prompts, instructions, and other material you provide ("Your Content"). You are responsible for ensuring you have the rights and permissions needed to use Your Content with Team OS and with any coding agent, AI model, Git host, or integration you select.
Team OS helps coordinate AI-assisted work, but AI-generated suggestions and outputs can be incomplete, incorrect, insecure, or unsuitable for your use. You are responsible for reviewing, testing, and approving outputs before relying on them or deploying them. Do not use the Service as a substitute for qualified professional judgment in high-impact decisions.

Acceptable use
You may not use the Service to:
- violate law, infringe rights, or facilitate fraud, harassment, or abuse;
- introduce malware, disrupt the Service, bypass access controls, or probe systems without permission;
- gain unauthorized access to accounts, repositories, networks, or data;
- misrepresent generated output as independently verified or conceal unlawful activity;
- resell or provide the hosted Service to others unless we agree in writing; or
- use automated means that materially burden the Service or circumvent documented limits.
Good-faith security research must be authorized in advance. Contact us before testing any Team OS-hosted system.

Paid services
Some features may require a paid subscription. Prices, billing intervals, included features, and any additional checkout terms shown when you subscribe are part of these Terms. You authorize us and Stripe to charge the payment method you provide, including applicable taxes, on a recurring basis until cancellation. Payment for hosted features or support does not change the Apache-2.0 license for the published software and documentation.
You may request cancellation through available billing controls or by emailing hello@kalidigital.com. Unless stated otherwise at checkout, cancellation takes effect at the end of the current paid period and fees already paid are non-refundable, except where law requires otherwise. We may change future prices with reasonable advance notice.

Third-party services
The Service may link to or interoperate with third-party services, including Supabase, Stripe, Vercel, Git hosts, coding agents, and AI model providers. We do not control those services and are not responsible for their content, availability, security, or practices. Your use of a third-party service is governed by your agreement with that provider. Links do not imply endorsement.

Ownership and feedback
We and our licensors retain all rights in the hosted Service, website, and branding, excluding Your Content and Apache-licensed materials. The published Team OS software and documentation remain governed by Apache 2.0, while the KaliDigital and Team OS names, logos, and marks are not licensed except as that license permits. No other rights are granted except as expressly stated in these Terms.
If you voluntarily provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary to protect the Service or others, address nonpayment, comply with law, or respond to a material or repeated breach of these Terms. When practical, we will provide notice and an opportunity to cure.
Provisions that by their nature should survive termination will survive, including provisions about ownership, paid obligations, disclaimers, liability, and disputes.

Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service or AI-assisted output will be uninterrupted, error-free, secure, accurate, or suitable for every repository or purpose. Nothing in these Terms limits warranties or consumer rights that cannot lawfully be excluded.

Limitation of liability and indemnity
To the maximum extent permitted by law, Team OS and its operator, 14001834 Canada Inc., will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to the Service, even if advised that such damages are possible.
Our total liability for all claims arising from or related to the Service will not exceed the greater of the amount you paid us for the Service during the 12 months before the event giving rise to the claim or CAD $100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.
If you use the Service on behalf of a business, you will indemnify and hold us harmless from third-party claims arising from Your Content, your unlawful use of the Service, or your material breach of these Terms, except to the extent the claim was caused by us. This paragraph applies only to the extent permitted by law.

Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Ontario will have exclusive jurisdiction, except where the consumer-protection law where you live gives you the right to bring a claim elsewhere.
Before filing a formal claim, please email hello@kalidigital.com with a description of the dispute. Both sides will try in good faith to resolve it informally for 30 days.

Changes and contact
We may update these Terms as the Service changes. We will post updated Terms, revise the effective date, and provide additional notice when required. Changes apply prospectively. Continuing to use the Service after updated Terms take effect means you accept them, to the extent permitted by law.
These Terms, the Privacy Policy, checkout terms, and any applicable separate software license are the entire agreement for the Service. If one provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver, and you may not assign these Terms without our consent.
